Restoring the underside of the car...

My mustang has been through a couple Chicago winters and the underside is pretty rusty. So this spring I want to make it look better than new and put a protective coat of black paint on all of the metal surfaces.

What steps should I take to do this?

What paint should I use?

I'm thinking I will just sand the rust off until the metal is clean, and then paint it. Is it more complicated then that? Can the metal, such as the metal around the fuel tank (I'm not sure if those two straps around it hold it in place), get too thin after sanding?
