Because the mounting ears and rotor offset are completely different. This isn't like the SN95 and fox which were the same basic chassis. Putting S197 brakes on a a Fox is pretty much the same as trying to put Ferrari brakes on it. Nothing is similar. The rotor offset is different, the mounting ears are actually wider and the caliper is held at a different angle. It's not gonna mount to a Fox spindle at all either. Same holds for the rear brakes. Ford changed the axle mounting flange and some other components.

Putting S197 brakes on a Foxc would have to be a totally custom job, and for cheaper and easier you could juts put Cobra 13" brakes on and have a better brake setup than the 12" S197 setup.

and why would you need to have a disc conversion in the rear to use the new wheels? the drums should have no problem clearing as long as its a 5 lug hub.

Because the offset of the wheels is about 3/4" deeper than SN95 wheels. If you mount an S197 wheel on a 5-lug drum setup, the backside of the wheel will rub the shock, quad shock and inside wheel well liner. That's why you need to do the Sn95 brake swap, because it will push the mounting flange for the wheel out that extra 3/4". The SN95 front spindles will also help push the front wheels up and eat up that extra offset. 96+ Spindles are recommended
